Terms & Conditions - Projects and Clients

These Terms & Conditions apply to services provided by Jay Creative Studio (“Jay Creative Studio”, “we”, “us” or “our”) to clients (“you” or “your”), as well as your use of the Jay Creative Studio website.

By engaging Jay Creative Studio, accepting a proposal, approving a project, making a payment, or using this website, you agree to these Terms & Conditions.

If a specific proposal, quotation, statement of work or other written agreement contains terms that differ from these Terms & Conditions, the specific agreement will take precedence for that project.

01. Our Services

Jay Creative Studio provides creative, branding, website, graphic design, content creation, social media, marketing and related services.

The exact services, deliverables, fees and estimated timeframe for each project will be outlined in the relevant proposal or quotation.

A project is considered approved when you:

  • Accept the proposal in writing;

  • Complete the proposal acceptance form;

  • Make the required deposit or initial payment; or

  • Otherwise instruct Jay Creative Studio to commence work.

Once a project has been approved, work may be scheduled and resources allocated accordingly.

02. Quotes & Proposals

Unless otherwise stated, proposals and quotations are valid for 14 days from the date issued.

Proposals are prepared based on the information available at the time and may be revised if the scope, requirements or project circumstances change before approval.

A proposal covers only the services and deliverables specifically outlined within it.

Requests outside the agreed scope may be quoted separately or charged at our applicable hourly or project rate. Additional work will be discussed and approved before proceeding wherever reasonably practicable.

03. Fees & GST

All prices are quoted in Australian dollars.

Unless otherwise stated, prices shown by Jay Creative Studio are exclusive of GST.

Where GST is applicable, it will be added to the quoted price and shown on the relevant invoice.

Any third-party costs are additional unless specifically included in your proposal.

These may include:

  • Website subscriptions

  • Domain registration

  • Hosting

  • Premium fonts

  • Stock photography or video

  • Printing

  • Advertising spend

  • Software or platform subscriptions

  • Plugins or integrations

  • External contractors or suppliers

  • Photography or videography

  • Other third-party services

You will be advised of relevant third-party costs before they are incurred where reasonably practicable.

04. Payment Structure

Jay Creative Studio uses the following standard payment structure unless otherwise agreed in writing.

Projects under $500

Projects valued at $500 or less are payable 100% upfront before work commences.

Projects from $501 to $3,000

Projects valued between $501 and $3,000 require:

50% deposit before work commences
50% final payment upon completion

Final deliverables may be withheld until the final payment has been received.

Projects over $3,000

Projects valued above $3,000 require a 40% deposit before work commences, with the remaining balance divided into agreed milestone or progress payments.

The payment schedule will be outlined in the relevant proposal.

Monthly Retainers

Ongoing services and monthly retainers are invoiced monthly in advance.

Services will commence or continue once the relevant monthly payment has been received.

Unless otherwise agreed, ongoing retainers require 30 days’ written notice to cancel.

Additional Work

Work outside the agreed scope will be quoted separately or charged at the applicable rate.

Where reasonably practicable, additional work will not commence until the additional fee has been approved.

05. Invoicing & Payment Terms

Invoices are payable within 7 days of the invoice date unless a different payment date is stated on the invoice or agreed in writing.

Payment can be made using the payment methods provided on your invoice.

The required deposit or initial payment must be received before project work commences.

For ongoing services, monthly payments are due before the relevant month’s services are provided.

Payment of an invoice constitutes acceptance of the associated services and agreed fees.

06. Late Payments

If an invoice remains unpaid after its due date, Jay Creative Studio may:

  • Contact you to request payment;

  • Pause work on the project;

  • Pause access to ongoing services;

  • Reschedule project work;

  • Withhold completed files or final assets until payment is received; and/or

  • Take reasonable steps to recover outstanding amounts.

Where permitted by law, reasonable costs associated with recovering overdue amounts may be charged to the client.

Any project paused due to overdue payment may be rescheduled based on Jay Creative Studio’s availability, and the original project timeline may no longer apply.

07. Project Scope

The scope of each project will be outlined in the relevant proposal.

The scope includes only the agreed deliverables.

Additional requests may include:

  • Additional design concepts

  • Additional website pages

  • Additional collateral

  • Additional revisions

  • Additional content

  • Additional meetings

  • New project directions

  • Changes to an approved direction

  • Changes to previously supplied information

  • Additional research or strategy

Additional work will be quoted or charged separately.

08. Revisions & Approvals

Where applicable, each proposal will outline the number of revision rounds included in the project.

A revision means a reasonable adjustment to an existing concept or deliverable.

A revision does not include a complete change of direction after a concept has been approved.

Once a design, concept, copy or direction has been approved, subsequent changes may be treated as additional work.

You are responsible for reviewing and approving content, designs and information before final publication or production.

Once final approval has been provided, Jay Creative Studio is not responsible for errors contained in the approved version, except where otherwise required by law.

09. Client Responsibilities

To keep projects moving smoothly, you agree to provide:

  • Accurate information

  • Required content and materials

  • Brand assets

  • Images and files

  • Feedback

  • Approvals

  • Access to relevant platforms

  • Any other information reasonably required to complete the project

You confirm that you have the right to provide any materials supplied to Jay Creative Studio and that their use does not infringe another person’s intellectual property rights.

Delays in receiving information, feedback, approvals or materials may result in the project timeline being extended.

10. Project Timelines

Any timeframe provided by Jay Creative Studio is an estimate unless a specific deadline has been agreed to in writing.

Project timelines depend on:

  • Timely client feedback

  • Availability of required materials

  • Website and software platforms

  • Printing suppliers

  • External contractors

  • Technical issues

  • Changes to scope

Jay Creative Studio will make reasonable efforts to meet agreed timelines and communicate significant delays.

11. Website Services

For website projects, Jay Creative Studio may provide design, development, content, SEO and/or website management services.

Website projects may depend on third-party platforms including Squarespace, Shopify, WordPress, domain providers, email providers, plugins and other services.

Jay Creative Studio is not responsible for outages, changes, limitations, pricing changes, technical issues or functionality changes made by third-party providers.

Any ongoing website subscription, hosting, domain or platform costs remain the client’s responsibility unless otherwise agreed.

12. SEO

Where SEO services are included, Jay Creative Studio will use reasonable professional practices to improve website structure, content and search visibility.

SEO results cannot be guaranteed.

Search engine rankings and visibility are influenced by factors outside our control, including search engine algorithms, competition, website history and industry conditions.

Jay Creative Studio does not guarantee:

  • A specific Google ranking

  • A specific number of enquiries

  • A specific amount of website traffic

  • A specific timeframe for SEO results

13. Content & Marketing

Where content creation, social media or marketing services are provided, content will be developed based on the information, objectives and materials provided by the client.

The client remains responsible for reviewing and approving content before publication where approval is required.

Jay Creative Studio does not guarantee specific sales, leads, engagement, revenue or other commercial outcomes unless expressly agreed in writing.

14. Intellectual Property

Unless otherwise agreed, Jay Creative Studio retains ownership of working files, drafts, unused concepts, internal processes, templates, systems and pre-existing intellectual property.

Upon receipt of full payment for the relevant project, you receive the agreed rights to use the final approved deliverables for your business.

This does not transfer ownership of:

  • Jay Creative Studio’s pre-existing intellectual property

  • Internal templates

  • Processes

  • Fonts

  • Third-party assets

  • Licensed stock imagery

  • Software

  • Third-party materials

  • Unused concepts or rejected designs

Where third-party assets are used, their own licensing terms may apply.

15. Portfolio & Promotion

Unless otherwise agreed in writing, Jay Creative Studio may display completed work in its portfolio, website, social media, case studies, presentations and other promotional materials.

We will not knowingly disclose confidential information or unpublished business information when showcasing completed work.

If a project is confidential or cannot be publicly displayed, please advise us in writing before work commences.

16. Confidentiality

Both parties agree to treat confidential business, commercial and personal information shared during a project as confidential and not disclose it to third parties except where reasonably required to complete the project or where required by law.

This obligation does not apply to information that:

  • Is publicly available;

  • Was already known to the receiving party;

  • Becomes publicly available through no breach of confidentiality; or

  • Is required to be disclosed by law.

17. Cancellation & Termination

Either party may request to cancel a project or ongoing service arrangement.

If a project is cancelled after work has commenced, you remain responsible for payment for work completed, approved expenses and any other amounts properly payable under the agreed scope.

Any deposit or initial payment may be applied against work already undertaken and time reserved for the project.

For ongoing monthly services, either party may terminate the arrangement with 30 days’ written notice, unless a different notice period is specified in the relevant proposal or service agreement.

Any cancellation or termination will remain subject to rights and obligations that cannot legally be excluded.

18. Client-Requested Delays

If a project is placed on hold at the client’s request for more than 30 days, Jay Creative Studio may need to reschedule the project based on availability.

If significant changes occur during the delay, the original scope, pricing or timeline may need to be reviewed.

Any changes will be discussed before proceeding.

19. Third-Party Suppliers

Jay Creative Studio may work with or recommend third-party suppliers, including printers, photographers, developers, copywriters, software providers and other specialists.

Where you engage a third-party supplier directly, you are responsible for that relationship and the supplier’s fees and terms.

Where Jay Creative Studio coordinates a third-party supplier on your behalf, third-party costs may be invoiced separately or included in your project invoice as agreed.

Jay Creative Studio is not responsible for delays, errors or failures caused by third-party suppliers where those matters are outside our reasonable control.

20. Errors & Corrections

Jay Creative Studio takes reasonable care to ensure final work is accurate and meets the agreed brief.

If an error is identified in work supplied by Jay Creative Studio, please notify us as soon as reasonably possible so we can review and, where appropriate, correct it.

This does not limit or exclude any rights or remedies available under applicable Australian Consumer Law.

21. Liability

To the maximum extent permitted by law, Jay Creative Studio will not be responsible for indirect or consequential loss arising from the use of our services.

Nothing in these Terms & Conditions excludes, restricts or modifies any right, guarantee, warranty or remedy that cannot legally be excluded under Australian Consumer Law or other applicable legislation.

Where the law permits limitation of liability, any limitation will apply only to the extent legally permitted.

22. Website Use

You may use the Jay Creative Studio website for lawful purposes only.

You must not:

  • Copy or reproduce website content without permission;

  • Use our branding without permission;

  • Attempt to gain unauthorised access to the website;

  • Introduce malicious software;

  • Use the website for unlawful purposes; or

  • Reproduce or commercially exploit website content without written permission.

All website content, including text, graphics, branding, imagery and original design elements, remains the property of Jay Creative Studio or its respective licensors unless otherwise stated.

23. Website Information

We aim to ensure information published on the Jay Creative Studio website is accurate and current.

However, information may change and we do not guarantee that every piece of information will always be complete, current or error-free.

Our website may contain links to third-party websites. We are not responsible for the content, availability, security or practices of third-party websites.

24. Privacy

Any personal information collected through our website, enquiry forms, project forms or other communication channels will be handled in accordance with our Privacy Policy.

Please refer to our Privacy Policy for information about how personal information is collected, used and stored.

25. Force Majeure

Jay Creative Studio will not be responsible for delays caused by circumstances reasonably outside our control, including serious illness, natural disasters, technology failures, internet outages, platform outages, supplier delays, government restrictions or other unforeseen events.

Where this occurs, we will communicate with you and make reasonable efforts to resume services as soon as practicable.

26. Changes to These Terms

Jay Creative Studio may update these Terms & Conditions from time to time.

The version applicable to a project will generally be the version accepted at the time the project is approved, unless otherwise required by law.

The current version will be published on this website.

27. Governing Law

These Terms & Conditions are governed by the laws of Victoria, Australia.

Any disputes will first be addressed through good-faith communication between the parties.

Nothing in these Terms prevents either party from exercising rights or remedies available under applicable Australian law.

28. Australian Consumer Law

Nothing in these Terms & Conditions is intended to exclude, restrict or modify rights and remedies available under the Australian Consumer Law or any other law that cannot legally be excluded.

Where Australian Consumer Law applies, those rights continue to apply regardless of anything contained in these Terms & Conditions.
